These Terms of Service (the "Terms") govern the access and use of the linkresellers.com platform ("LinkResellers" or "the Platform"), operated by Sitexx SAS, Tax ID 901579602-8, with its registered address at Carrera 44 #13B - 61, Cali, Colombia, 760036.
By registering, purchasing services, or using any feature of the Platform, you fully accept these Terms. If you do not agree, you must refrain from using our services.
1. Purpose and Nature of the Service
LinkResellers is a B2B marketplace that connects agencies, resellers, and companies ("Clients") with publication opportunities on websites. The Platform operates under two modalities:
- Third-party intermediation (primary modality): most of the catalog consists of sites owned by independent editors or publishers ("Publishers") for which LinkResellers acts as an intermediary agent. In this modality LinkResellers does not own, operate, or control the sites; Publishers are independent third parties responsible for editorial line, moderation, design, and permanence of publications on their own sites.
- Own sites: part of the catalog consists of sites directly owned by LinkResellers (or affiliated companies) and under internal editorial management. In this modality editorial decisions are made by the LinkResellers editorial team.
These Terms apply equally under both modalities. The catalog identifies, where applicable, the modality of each site and its particularities.
2. Registration and Account
- The service is directed exclusively to persons of legal age and legally established companies.
- You must provide truthful, complete, and up-to-date data. You are responsible for keeping your credentials confidential.
- LinkResellers reserves the right to verify Client identity and reject suspicious registrations.
- An account may not be transferred to third parties without written authorization.
3. Ordering and Order Fulfillment
3.1. Process
- The Client selects a site from the catalog and creates the purchase order.
- Payment modalities by site type:
- Marketplace sites: mandatory pre-payment before LinkResellers initiates the process with the Publisher.
- Guaranteed sites (flagged as such in the catalog): the Client may choose (a) pre-payment prior to publication, or (b) the Net-48 modality described in clause 3.5.
- LinkResellers contacts the Publisher, who may accept or reject the order at their discretion.
- If the Publisher rejects, the Client receives a full refund or may choose another equivalent site.
- If accepted, the publication is executed within the standard window.
3.2. Delivery Windows
- Standard window: 7-21 business days from payment confirmation and Publisher acceptance.
- If, due to causes attributable to LinkResellers or the Publisher, the publication is not delivered within the window, the Client may choose between: (a) a 7-day extension, or (b) a full refund.
- Windows may be affected by force majeure, holidays, or Client delays in providing content.
3.5. Deferred Payment Modality "Net-48" (guaranteed sites) (critical clause)
3.5.1. Scope
The Net-48 modality applies exclusively to orders for sites flagged as GUARANTEED in the catalog. It does not apply to Marketplace sites.
3.5.2. Payment window
The Client has forty-eight (48) calendar hours from the "publication verified" notification sent to the registered email to make full payment of the order.
3.5.3. Dispute over the publication
If the Client believes the publication does not comply with what was agreed (wrong URL, different anchor text, altered content, different site, dofollow flipped to nofollow, etc.), they must open a formal written dispute at [email protected] before the 48 hours elapse. The payment window will be suspended until the dispute is resolved:
- If the dispute is resolved in favor of the Client: correction of the publication or full refund.
- If resolved in favor of LinkResellers: the 48-hour countdown resumes from the time of resolution.
3.5.4. Default — consequences
Once the 48-hour window has elapsed without payment or formal dispute, LinkResellers may, at its discretion:
- (a) Proceed to remove the publication without further notice.
- (b) Revoke the Client's access to the Net-48 modality on future orders, reverting them to mandatory pre-payment.
- (c) Initiate collection of the owed amount, suspend the account and, where applicable, pursue judicial action plus costs and legal fees.
- (d) The Client expressly waives any SEO benefit, traffic, metric, citation or reference arising from the temporary publication period, and may not invoke screenshots, captures, web archives, wayback machines or references to the URL as proof of contractual compliance nor as a basis for any claim.
3.5.5. Net-48 reinstatement
After Net-48 has been revoked for non-payment (clause 3.5.4.b), the Client may request reinstatement only after completing at least 3 consecutive pre-paid orders without incident. Reinstatement is at the sole discretion of LinkResellers.
3.5.6. Preventive denial reserve
LinkResellers reserves the right to deny or suspend the Net-48 modality for individual Clients when patterns of risk are detected, including (but not limited to): prior chargebacks, recurring partial delays, suspicious order fragmentation, incorrect tax or contact data, or any reasonable indication of potential non-payment.
3.5.7. New Clients
Clients who have not yet completed at least one satisfactory pre-paid order with LinkResellers will operate under mandatory pre-payment. Access to Net-48 becomes eligible starting from the second order, at the discretion of LinkResellers.
4. Validity and Duration of Publications (critical clause)
4.1. Minimum permanence warranty
LinkResellers warrants that each publication (article with backlink) will remain published on the Publisher's site for a minimum of 12 months counted from the confirmed publication date.
4.1.bis. Clarification on "permanent" placement
Although in practice most publications remain indefinitely on the Publishers' sites beyond the warranty period, the contractually enforceable warranty against LinkResellers is twelve (12) months. Any longer permanence is factual, not contractual, and does not create any additional obligation on LinkResellers nor any right of claim for the Client.
4.2. Early removal within the warranty period
If the Publisher removes or unpublishes the publication before the 12-month warranty, and provided the removal is not due to a cause attributable to the Client (section 4.4), LinkResellers will offer the Client, at their choice:
- Option A — Free replacement: equivalent publication on another catalog site of similar or superior quality (same main metric attributes).
- Option B — Prorated refund: refund prorated on the remaining unmet time, calculated as:
(months remaining / 12) × amount paid.
The Client must report the removal in writing to [email protected] within 30 calendar days of detecting it. After this period without notice, the warranty is deemed waived for that case.
4.3. After the warranty period
After the 12-month warranty, LinkResellers assumes no responsibility for the permanence of the content. The Publisher may, at their sole discretion, maintain, modify, or remove the publication.
4.4. Removal due to cause attributable to the Client
LinkResellers shall not be obligated to replace or refund when the removal occurs because the Client:
- Requests modifications outside the original scope.
- Has their destination site flagged by Google as spam, penalized, or deindexed after publication.
- Provides content that infringes third-party rights, is illegal, misleading, or contrary to these Terms (section 6).
- Abandons or leaves inactive the destination domain (404, expired domain, sold to a third party).
- Expressly requests unpublishing.
4.5. Publisher editorial changes
Publishers may, under their own editorial policies, change site design, migrate URLs (keeping 301 redirects), add advertising, or modify article format. These changes are not considered removal provided that the dofollow link to the Client's destination URL remains functional and publicly accessible.
4.6. Re-indexing and search engine visibility
LinkResellers does not guarantee that links will be indexed by Google, Bing, or other search engines. Indexing is the sole decision of the search engine. Non-indexing does not constitute breach of this contract.
5. No Guarantee of SEO Results
The Client expressly acknowledges and agrees that LinkResellers does not guarantee:
- Improvement in search engine rankings.
- Increase in organic traffic.
- Increase in Domain Authority, Page Authority, Trust Flow, Citation Flow, or any third-party metric.
- SEO value of the link, which depends on factors outside LinkResellers' control (search engine algorithms, policy changes, prior penalizations of the Client's domain).
SEO is a discipline with many variables. LinkResellers' services are one piece within a broader strategy. Failure to obtain expected SEO results does not entitle the Client to a refund.
6. Content Acceptance — Editorial Criteria
6.1. General principle
Acceptance or rejection of content is the decision of the editor (Publisher) who owns each site, applying their own editorial policy. LinkResellers does not set a universal list of prohibitions: each site in the catalog sets its own acceptance criteria, which may vary in topic, format, length, permitted links, anchor text type, accepted niches, and other aspects.
6.2. Acceptance process
- For third-party Publisher sites (modality 1.a): LinkResellers forwards the Client's order to the Publisher. The final decision to accept, reject, request modifications, or propose conditions belongs exclusively to the Publisher.
- For owned sites (modality 1.b): the decision is made by the LinkResellers editorial team applying internal quality and legal-compliance criteria.
6.3. Content typically rejected by catalog Publishers
For informational purposes and without constituting a universal prohibition, catalog Publishers typically reject — and LinkResellers may pre-filter in good faith — content such as:
- Illegal under the Client's, the Publisher's, or LinkResellers' jurisdiction.
- Pornographic, sexually explicit, or escort services.
- Gambling or betting without proper license in the applicable jurisdiction.
- Prescription drugs, controlled substances, or doping.
- Weapons, explosives, hate speech, discrimination, violence, or terrorism.
- Content infringing copyrights, trademarks, or third-party intellectual property.
- Pyramid schemes, unregulated investments, fraudulent cryptocurrencies.
- Malware, phishing, hacking software, pure PBN (Private Blog Networks), or link-farming networks.
- Aggressive or black-hat SEO techniques (cloaking, hidden content, invisible text, misleading redirects).
- Third-party personal data without express consent.
Some catalog sites may accept topics others reject (for example, licensed gambling in permitting jurisdictions). The Client must check each site's specific restrictions before ordering.
6.4. Consequences of rejection
If an order is rejected by the Publisher — or by LinkResellers' editorial team on owned sites — the Client will be offered, at their choice:
- A proposal of an equivalent alternative site whose editorial line accepts the content.
- A full refund of the amount paid for the rejected order.
6.5. LinkResellers' reservation
LinkResellers reserves the right to refuse to process or to cancel, at its sole discretion, orders it considers manifestly illegal or contrary to good editorial practice, refunding the amount to the Client and without obligation to explain the reason in detail.
7. Client Responsibilities
- Provide original, non-infringing content.
- Ensure the destination URL works properly at the time of publication.
- Keep billing and contact data updated.
- Comply with these Terms and applicable laws.
- Maintain confidentiality of account credentials.
8. Payments, Billing, and Refunds
8.1. Methods and currency
Payments are accepted through the following methods:
- PayPal
- Bank transfer (SEPA, SWIFT or ACH depending on the Client's country)
- USDT on the TRC-20, ERC-20 or BEP-20 networks — payable to the LinkResellers Binance account or from the Client's own wallet
Catalog prices are shown and invoiced in EUR. Conversions from other currencies or tokens are computed at the exchange rate in force at the moment of payment; FX variations, network (gas) fees and banking costs are borne by the Client.
8.2. Billing
We issue electronic invoices in accordance with Colombian regulations. The Client must provide accurate tax data; LinkResellers is not responsible for errors arising from incorrect data provided by the Client.
8.3. Refunds — accepted cases
Refunds are processed only in the following cases:
- The Publisher rejects the order and no equivalent sites are available.
- LinkResellers does not deliver the publication within the agreed window and the Client does not accept the extension.
- Removal of the publication within the warranty period (prorated refund — section 4.2).
- Confirmed fraud or unauthorized charge.
8.4. Refunds — cases NOT accepted
- Failure to obtain SEO results.
- Non-indexing of the link by the search engine.
- Subjective dissatisfaction with published content when it matches the approved brief.
- Changes in the Client's marketing strategy.
- Non-substantial Publisher design or editorial changes (section 4.5).
8.5. Chargebacks
Chargebacks made without prior notice to [email protected] will be considered bad faith and will result in: (a) immediate account suspension, (b) judicial collection of the service provided plus costs, and (c) possible inclusion in shared problematic-user registries within the industry.
9. Limitation of Liability
To the maximum extent permitted by law:
- LinkResellers shall not be liable for indirect, incidental, special, consequential damages, or lost profits (loss of traffic, sales, customers, revenue, data, etc.).
- LinkResellers' total aggregate liability to the Client for any claim related to the service shall be limited to the amount actually paid by the Client for the specific service giving rise to the claim.
- No claim may be brought after 12 months from the event originating it.
10. Indemnification
The Client agrees to indemnify and hold harmless Sitexx SAS, its directors, employees, and providers, against any claim, damage, fine, or legal cost arising from:
- Content provided by the Client that infringes third-party rights.
- Use of the Platform in violation of these Terms or the law.
- False, misleading, or illegal information provided when registering or ordering services.
11. Account Suspension and Termination
LinkResellers may suspend or terminate the account, without refund of services already used, in the following cases:
- Material breach of these Terms.
- Detection of fraud, illegal use, or abuse of the Platform.
- Unjustified chargebacks.
- Abusive conduct toward LinkResellers personnel or Publishers.
- Request from a competent authority.
The Client may close their account at any time. Services already contracted and paid for will continue to run until completion.
12. Intellectual Property
The software, design, "LinkResellers" brand, logos, Platform texts, and catalogs are the exclusive property of Sitexx SAS or used under license. Their reproduction, copying, or exploitation without written authorization is prohibited.
Content provided by the Client for publication remains their property; the Client grants LinkResellers and the Publisher a non-exclusive license to publish it under the terms of the contracted service.
13. Confidentiality
Both parties agree to keep confidential the information exchanged during the business relationship (prices, margins, Publisher lists, strategic information). This obligation survives for 3 years after termination.
14. Force Majeure
Neither party shall be liable for breaches caused by events beyond its reasonable control (natural disasters, war, acts of authority, widespread internet infrastructure failures, unilateral decisions by major platforms such as Google that affect the ecosystem). The compliance period shall be extended for the duration of the event.
15. Modification of the Terms
LinkResellers may modify these Terms at any time. Material changes will be notified 30 days in advance by email to the registered address. Continued use of the Platform after the effective date constitutes acceptance of the new Terms.
16. Data Protection
The processing of personal data is governed by our Privacy Policy, an integral part of these Terms.
17. Applicable Law and Jurisdiction
These Terms are governed by the laws of the Republic of Colombia. Any dispute arising from them shall be submitted to:
- First instance — mediation: the parties shall seek to resolve the conflict in good faith during 30 calendar days.
- Second instance — arbitration (B2B): for disputes between companies, arbitration administered by the Center of Arbitration of the Cali Chamber of Commerce, under its rules.
- For consumers: the competent courts of the consumer's domicile, unless an express choice otherwise is permitted by applicable law.
18. Severability and Assignment
If any clause of these Terms is declared invalid, the remaining ones shall remain in full effect. The Client may not assign their contractual position without written authorization from LinkResellers. LinkResellers may assign the contract as part of a merger, acquisition, or business reorganization.
